AXION VENTURES CONTROL PERSON COMPLETES SWAP TRANSACTION

Cern One Ltd. has sold 5.75 million common shares of Axion Ventures Inc. at a price of $1 per share over the facilities of the TSX Venture Exchange and subscribed for 5.75 million common shares of Axion at a price of $1 per share.

Nithinan Boonyawattanapisut is the sole director of Cern One and owns 100 per cent of the outstanding voting securities of Cern One. As such, the Axion common shares held by Cern One should be considered to be under the control and direction of Ms. Boonyawattanapisut. Subsequent to the swap, the seller continues to own 70,593,540 common shares, which represents approximately 28.8 per cent of Axion's issued and outstanding common shares on an undiluted and partially diluted basis. Of Cern One's 70,593,540 common shares, 16,845,287 remain deposited in performance escrow, only to be released to Cern One upon financial performance targets being attained by Axion Games Ltd., as described in Cern One's initial report on Form 62-103F1 dated May 18, 2016. However, the related performance escrow agreement is in the process of being amended to extend the target date to Dec. 31, 2020, as disclosed in Axion's management information circular dated Nov. 16, 2018.

The swap was completed for investment purposes. Cern One may dispose of, or acquire, further securities of Axion in the future for similar purposes.
