The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement for Atlanta Gold Inc. announced Sept. 25, 2012, and filed pursuant to the temporary relief from certain pricing requirements:

Number of shares:  16,666,666 shares

Purchase price:  three cents per share

Warrants:  8,333,333 share purchase warrants to purchase 8,333,333 shares

Warrant exercise price:  five cents in the first year; 10 cents in the second year

Placees:  three

Finder's fee:  A total of $20,000, plus 666,666 finder's warrants (each exercisable into one common share at a price of 10 cents per share for a period of one year), is payable to Brant Securities Ltd.
