Initial conversion price:  25 cents per common share

Interest rate:  6 per cent in cash or 10 per cent if converted to shares

Warrants:  4.2 million share purchase warrants to purchase 4.2 million shares

Initial exercise price:  30 cents

Term to expiry:  three years

Number of placees:  four placees
