ALDERSHOT RESOURCES LTD. FINANCING

Aldershot Resources Ltd. has entered into a non-brokered financing agreement to complete a private placement to raise up to $400,000 through the issuance of up to an aggregate of eight million units at five cents per unit. Each unit will consist of one common share and one purchase warrant exercisable for two years at 10 cents. The company may pay a finder's fee in accordance with the policies. The proceeds of the private placement will be used for general working capital, reduction of debt and corporate development.

The terms of the financing are subject to regulatory approval.
