The TSX Venture Exchange has accepted for filing the company's proposal to issue 1.6 million shares at a price of five cents per share to settle outstanding debt of $80,000.

Number of creditors:  two creditors

Creditor:  England Communications Ltd. (Mike England), $50,000 owing, one million shares at five cents per share

The company shall issue a news release when the shares are issued and the debt extinguished.
