The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 14, 2017.

Number of shares:  4,643,000 shares

Purchase price:  14 cents per share

Warrants:  4,643,000 share purchase warrants to purchase 4,643,000 shares

Warrant exercise price:  18 cents for a five-year period

Number of placees:  27 placees

Insiders:  Carl von Einsiedel, 20,000 shares; Kathyryn Witter, 15,000 shares; Benjamin Hill, 25,000 shares

Finder's fee:  NewGen Equity Long-Short Fund (David Dattels) will receive a finder's fee of 300,000 finder's units, each unit consisting of one common share and share purchase warrant where each warrant is exercisable into a common share at 18 cents per share for a one-year period.

Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company issued a news release dated March 21, 2017, announcing the closing of the private placement and setting out the expiry dates of the hold period(s).
