The TSX Venture Exchange fell 9.63 points to 650.53 Tuesday. James McRoberts's first capital pool shell, Haw Capital Corp. (HAW: halted), plans to acquire Merrco Payments Inc. for the shell's qualifying transaction. The shell will roll back 1 for 33.3333, leaving it with 406,200 shares issued, then issue at least 23,820,705 shares to its target's shareholders.

Merrco is a payment processing company that focuses on marijuana sales transactions. It says it can perform more than 200 verifications per transaction, for instance checking a purchaser's age and monitoring his individual purchase limits. Merrco operates in Canada and hopes to expand its business to the United States, Germany and Australia.

Merrco's president and chief executive officer is Fern Glowinsky. From 2001 to 2016, she worked at another payment processing company, Moneris Solutions Corp., in positions including chief operating officer. Then from September, 2016, to May, 2018, she was the CEO of an investment issuer, Cliffside Capital Ltd. (CEP: $0.25). In June, she joined the board of Namaste Technologies Inc. (N: $1.68), an on-line marijuana retailer. Namaste is also working on a telemedicine platform, which doctors will be able to use with their medical marijuana patients.
