The TSX Venture Exchange gained 9.10 points to 783.24 Wednesday. Gerry Goldberg, who "took the initiative in founding and organizing" the capital pool shell called Victory Capital Corp., has left Victory Capital. In a new preliminary prospectus, the shell identifies Mr. Goldberg's replacement as chief executive officer, chief financial officer and director: Chris Frostad. (It does not provide a reason for the resignation.) The new prospectus also doubles the shell's minimum initial public offering to $400,000. The IPO price is unchanged at 20 cents, and the IPO agent is still Gravitas Securities Inc.

Mr. Goldberg, 72, is a senior partner at accounting firm Schwartz Levitsky Feldman LLP in Toronto. He is also the CEO of Canada House Wellness Group Inc. (CHV: $0.21), a marijuana promotion that does not yet have a licence to grow marijuana. Mr. Goldberg is a director of the following public companies: Canadian Securities Exchange-listed Gravitas Financial Inc. (GFI: $0.035), which is the parent of Gravitas Securities; OTCQB-listed Gilla Inc. (GLLA: $0.15 (U.S.)), which is an e-cigarette promotion; and one-time shell-maker Yvan Routhier's capital pool shell, Capricorn Business Acquisitions Inc. (CAK: $0.245), which recently rolled back 1 for 3. Capricorn is seven years old and does not have a qualifying transaction in progress.
