The TSX Venture Exchange closed up 15.87 points to 619.79 Monday. Robert van Santen's halted, Canadian Securities Exchange-listed shell, Genovation Capital Corp. (GEC), has filed a management information circular containing details of its two planned acquisitions. The targets are MKHS LLC and Valens Agritech Ltd. Genovation will roll back 1 for 3, leaving it with 14,347,695 postconsolidated shares issued (assuming the conversion of outstanding debentures into shares), then issue 33,475,000 postconsolidated shares to the MKHS shareholders and 36 million postconsolidated shares to the Valens shareholders.

In February, 2016, Genovation sold a $722,876 private placement of 9.03 million shares at 24 cents. Among the subscribers were Mr. van Santen's Van Santen Family Trust, which acquired 3.3 million shares; his wife Leslie van Santen's Phi Beta Capital Advisors Ltd. and Doyle Family Trust, which acquired a combined 2.84 million shares; and Genovation director John Binder's High Noon Holdings Inc., which acquired 1.25 million shares. The shell will use the proceeds for working capital and to cover acquisition costs, and to provide financing to MKHS.
