The TSX Venture Exchange increased by a fraction to 671.58 Thursday. Lawrence Ho and Dennis Tam's capital pool shell, Alpha Peak Leisure Inc. (AAP), has completed its qualifying transaction by acquiring the Swallows' Gully tourism destination, located at the foot of the Gongga Mountain in Sichuan province, China. The shell issued 45,356,146 shares to the shareholders of Total Wonder Enterprises Ltd., the owner of Swallows' Gully. Alpha Peak resumed trading, opening at $1.40 and then climbed to a close of $2.10 on 467,000 shares.

Alpha Peak's brokers, including Citigroup, Merrill Lynch, Deutsche Bank and Canaccord Genuity, lined up 42 subscribers for a $15.03-million private placement of 8,355,334 shares at $1.80 that closed in connection with this QT. The largest subscriber to the financing was Business Infinity Ltd., a British Virgin Islands company that acquired 5,555,556 shares for $10-million. Because the shareholder is a BVI-registered company, there is little information available, though Business Infinity provides a contact name, Baihan Zong. The second-largest subscriber to the financing was yet another BVI company, Spring Stream Ltd., which acquired 1,111,111 shares for $2-million. The contact for Spring Stream is Cheuk Wai Alvin Chan.
