The TSX Venture Exchange fell a fraction to 687.21 Friday, ending the week down 19.61 points.
Hugh Notman's NEX shell, SMC Ventures Inc. (SMC), plans to acquire the terribly named 0 Waste 2 Energy Canada Ltd.
SMC, which has 6,697,321 shares outstanding, will issue 12 million shares to the shareholders of 0 Waste. The target has a right to market and distribute a vertical gyroscopic mill designed for use in the forestry, mining waste management and recycling industries. It acquired this right in early 2013 from Randy Hayward's Global Green Matrix Corp., which today trades as Intercept Energy Services Inc. (IES: $0.005). SMC does not yet provide any financial details about its target, but it is probably a financial loser. Investors will not learn about 0 Waste's interesting details until it submits a filing statement. Herbert Towning, a septuagenarian living in the United Kingdom, is the majority owner of 0 Waste, as well as a director of Intercept Energy. Mr. Towning was a banking bloke in London between the 1950s and the 1970s, after which he went abroad to work for 20 years at an investment company based in Bahrain. In the mid-1990s, he became a managing partner at an investment company in Liechtenstein called Etablissement Pour le Placement Prive.
