ACQUISITION OF COMMON SHARES OF TRES-OR RESOURCES LTD.

This news release is issued by William B. Moure pursuant to the early warning requirements of National Instrument 62-104 and National Instrument 62-103 with respect to common shares of Tres-Or Resources Ltd.

On Feb. 21, 2017, Mr. Moure acquired three million shares of the issuer by way of private placement at a price of five cents per share. Following issuance of the common shares, Mr. Moure has beneficial ownership of 11.7 per cent of the issuer's then issued and outstanding common shares. Depending on economic or market conditions, or matters relating to the issuer, Mr. Moure may, in the future, choose to either acquire additional securities of the issuer or dispose of securities of the issuer; however he has no current plans to do either.
