RENAISSANCE ANNOUNCES LISTING OF WARRANTS

The TSX Venture Exchange has accepted for listing Renaissance Oil Corp.'s 106.89 million warrants issued pursuant to a private placement that closed in two tranches on Oct. 6, 2015, and Nov. 4, 2015, respectively.

The warrants will be listed for trading on the TSX-V under the symbol ROE WT.A concurrently with the expiry of the applicable statutory hold periods attached to such warrants, being 61,025,000 warrants on Feb. 8, 2016, and the remaining 45,865,000 warrants on March 7, 2016.

Each warrant entitles the holder thereof to acquire one common share of the company at an exercise price of 20 cents until Oct. 6, 2020. the warrants were issued pursuant to, and are governed by, a warrant indenture between the company and Computershare Trust Company of Canada dated Oct. 6, 2015, as supplemented by the first supplemental warrant indenture dated Nov. 4, 2015.
