GREENFLAG APPOINTS DI'BIASE AS CEO & DIRECTOR, ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING

Greenflag Ventures Inc. held its annual general meeting on June 18, 2014, in Vancouver.

Shareholders re-elected all three incumbent director nominees: Ryan Cheung, Matthew Reams and Toma Sojonky. Voters also nominated and resolved to elect Richard Di'Biase as a director, to which Mr. Di'Biase has consented.

Financial statements and auditor's reports for the fiscal years ended March 31, 2013, and March 31, 2014, were presented. The resolution to reappoint DeVisser Gray LLP, chartered accountant, as auditor of the company for the ensuing fiscal year, at a remuneration to be fixed by the board, was passed. The resolution to approve of the company's stock option plan was also passed.

Following the annual general meeting, Mr. Sojonky tendered his resignation as the company's president and chief executive officer in order to focus on other opportunities; the board thanks Mr. Sojonky for his contributions in this capacity since the company's inception. The board reappointed Mr. Cheung as chief financial officer.

The board appointed Mr. Di'Biase as the company's president and CEO. Mr. Di'Biase brings over 15 years of capital markets experience to Greenflag. He has served as an officer, director and consultant to private and public technology and resource firms at all stages of corporate development. Mr. Di'Biase has been involved in the debt and equity financing of micro and small-cap issuers listed on American, Canadian and European exchanges.
