Weiss & Lurie, a national class action and shareholder rights law firm with offices in New York City and Los Angeles, is investigating possible breaches of fiduciary duty and other violations of law by members of the Board of Directors of Hughes Communications, Inc. (NASDAQ: HUGH) arising from the proposed acquisition of Hughes by EchoStar Corporation (NASDAQ: SATS).

Under the terms of the transaction, shareholders will receive $60.70 per share of Hughes. The transaction is expected to close later this year.

Weiss & Lurie is investigating whether Hughes’s Board acted in the best interests of shareholders in approving the transaction and whether the Board properly sought to maximize shareholder value. Of particular concern is that Hughes insiders are benefiting from the transaction to the detriment of shareholders. EchoStar is required to retain Hughes’s directors and officer’s liability insurance policies, and indemnify Hughes’s officers, directors, and employees for a period of six years following the closing of the Merger. Moreover, Apollo Management IV, L.P., which owns a majority of Hughes’ outstanding stock, has approved the transaction by entering into a written shareholder consent, thereby denying other Hughes shareholders a meaningful vote. Additionally, an analyst set a price target of $65 on Hughes stock.
