following the closing of the Merger. Moreover, Apollo Management IV,
L.P., which owns a majority of Hughes’ outstanding stock, has approved
the transaction by entering into a written shareholder consent, thereby
denying other Hughes shareholders a meaningful vote. Additionally, an
analyst set a price target of $65 on Hughes stock.
