Under the proposed agreement, Salient will commence a cash tender offer
to purchase all of the outstanding shares of ATS’s common stock for
$3.20 per share. In addition, ATSC board members have signed a tender
and voting agreement in support of the offer, and certain principal
stockholders of ATSC have signed similar agreements.
The investigation concerns whether ATS’s board of directors adequately
shopped the Company to obtain the best price possible for ATS
shareholders before entering into the agreement with Salient.
