In a recently filed federal class action complaint, Green Mountain and
certain of its officers and directors were charged with violating the
Securities Exchange Act of 1934. Specifically, the complaint alleges
that during the class period the defendants issued materially false and
misleading statements to investors when it failed to disclose that (i)
demand for Green Mountain’s brewers and portion packs had slowed; (ii)
Green Mountain’s models for predicting consumer demand were flawed and
ineffective; and (iii) as a result of the foregoing, defendants lacked a
reasonable basis for their positive statements about Green Mountain and
its prospects. According to the complaint, after these came to light in
a May 2, 2012 press release, Green Mountain’s shares plunged nearly 48%
a share.
