(“C&D”) (OTC: CHHP) concerning the proposed acquisition by Angelo, Gordon & Co., LP (“Angelo Gordon”) for all of the outstanding shares of common stock of C&D that are not currently owned by Angelo Gordon for $9.50 per share in cash.

Angelo Gordon currently owns approximately 65% of C&D’s outstanding common shares.
