Under the proposed agreement, Asahi today commenced a cash tender offer
to purchase all of the outstanding shares of Zoll’s common stock for
$93.00 per share. The tender offer is scheduled to conclude at midnight
New York City time on April 20, 2012, unless otherwise extended.

shopped the Company to obtain the best price possible for Zoll’s
