BGCP also conducted an equity offering at its own expense and to the sole benefit of Cantor Fitzgerald. Lastly, BGCP amended Howard W. Lutnick’s change-in-control agreement to dramatically increase the cash windfall he would gain in the event he and Cantor Fitzgerald, as controlling shareholders, decided to sell BGCP.
