The complaint accuses the defendants of violations of the Securities
Exchange Act of 1934 by virtue of the defendants’ failure to disclose
during the Class Period that the Company was uncertain to maintain a
critical series of contracts with a telecommunications industry group
known as North American Portability Management LLC. According to the
complaint, following the Company’s January 29, 2014 announcement that
the Company was making efforts to submit a revised bid to maintain the
contracts and the June 6, 2014 revelation that the Company was not
expected to be awarded the contracts, the value of NeuStar shares
declined significantly.
