BioLineRx (NASDAQ: BLRX) (TASE: BLRX), a clinical-stage
biopharmaceutical company dedicated to identifying, in-licensing and
developing promising therapeutic candidates, today announced that it has
priced an underwritten public offering of 12,500,000 American Depositary
Shares (“ADSs”), each representing ten (10) of its Ordinary Shares, at a
public offering price of $2.00 per ADS for gross proceeds of $25
million. All of the ADSs in the offering are to be sold by BioLineRx.
Delivery of the ADSs is expected to occur on March 11, 2015. BioLineRx
has granted the underwriters a 30-day option to purchase up to an
additional 1,875,000 ADSs to cover over-allotments, if any.
JMP Securities acted as sole book-running manager for the offering. Roth
Capital Partners acted as lead manager. Maxim Group acted as co-manager.
The ADSs will be issued pursuant to a shelf registration statement that
was previously filed with, and declared effective by, the Securities and
Exchange Commission (SEC). A final prospectus supplement related to the
offering will be filed with the SEC and will be available on the SEC’s
website located at www.sec.gov.
