Warrant term to expiry:  two years

Number of placees:  one placee

Insider:  2176423 Ontario Ltd. (Eric Sprott), 10 million

Finder's fee:  Mackie Research Capital Corp., 600,000 shares and 600,000 warrants

Finder's warrant initial exercise price:  30 cents

Finder's warrant term to expiry:  valid for two years from closing
