VOLT CARBON TECHNOLOGIES ANNOUNCES $175,000 PLACEMENT

Volt Carbon Technologies Inc. intends to complete a non-brokered private placement financing of up to five million units at a price of 3.5 cents per unit for gross proceeds of up to $175,000.

The offering will consist of up to five million units at a price of 3.5 cents per unit for gross proceeds of up to $175,000. Each unit will consist of one common share in the capital of the company and one common share purchase warrant. Each warrant will entitle the holder to purchase one additional common share at an exercise price of five cents per warrant share for a period of 24 months from the date of issuance. All securities issued as part of the offering shall be subject to a four-month-and-one-day hold period. No finders' fees, commissions, agent options or other compensation are anticipated in connection with the private placement.

The company intends to use the proceeds of the offering to support intellectual property development initiatives, to advance battery and mobile mineral separation technologies, and for general working capital.

Closing of the offering is subject to customary conditions and regulatory approvals, including the approval of the TSX Venture Exchange. The company anticipates closing the offering within approximately 30 business days. No insiders intend to participate in the offering and no new control persons will be created by the offering.
