TRACTION URANIUM ANNOUNCES CLOSING OF LIFE OFFERING

Traction Uranium Corp. has closed its previously announced non-brokered private placement of units of the company. The offering was completed under the listed issuer financing exemption (LIFE) under Part 5A of National Instrument 45-106, Prospectus Exemptions, as amended by Coordinated Blanket Order 45-935, Exemptions from Certain Conditions of the Listed Issuer Financing Exemption. Pursuant to the offering, the company issued an aggregate of three million units at a price of 30 cents per unit for aggregate gross proceeds of $900,000.

Each unit comprises one common share and one common share purchase warrant. Each warrant entitles the holder to purchase one common share at an exercise price of 40 cents per warrant share for a period of 24 months from the closing date of the offering, such date being April 27, 2028. The warrants will be governed by the terms and conditions set forth in the certificates representing the warrants and are subject to a 60-day contractual hold period following the closing of the offering.

The company intends to use the net proceeds from the offering for exploration expenditures, investor relations expenses, and general and administrative expenses.

The offering was made to purchasers resident in Canada, except Quebec. Because the offering was completed pursuant to the listed issuer financing exemption, the securities issued in connection with the offering will not be subject to resale restrictions in accordance with applicable Canadian securities laws.
