ROYAL ROAD MINERALS ANNOUNCES PRIVATE PLACEMENT

Royal Road Minerals Ltd. has arranged a non-brokered private placement offering, with an existing institutional shareholder, of five million ordinary shares of the company at a price of 20 cents per share for gross proceeds of $1-million.

The offering is being completed on the same terms as the brokered private placement financing completed by the company on July 28, 2026. As a result of additional investor demand, the company has determined to proceed with the offering to allow for the existing institutional shareholder to participate.

Closing of the offering is subject to receipt of all necessary corporate and regulatory approvals, including the approval of the TSX Venture Exchange. All securities issued in connection with the offering will be subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. Gross proceeds of the offering will be used to expand drilling programs across Royal Road's properties in Colombia and for general and working capital purposes.
