2026-11-03 17:44 ET - News Release

Mr. Michael Farrant reports

NEW BREAK CLOSES $523,820 NON-BROKERED FLOW-THROUGH FINANCING

New Break Resources Ltd., further to its news release dated Oct. 30, 2026, has closed a non-brokered private placement flow-through (FT) financing through the issuance of 2,381,000 common shares that qualify as flow-through shares (within the meaning of Subsection 66(15) of the Income Tax Act (Canada)) at a price of 22 cents per FT share for gross proceeds of $523,820.

The gross proceeds from the sale of the FT shares will be used for Canadian exploration expenses (CEE) and will qualify as flow-through mining expenditures as defined in the Income Tax Act (Canada). The company will renounce such CEE to the purchasers of the FT shares with an effective date of no later than Dec. 31, 2026. More specifically, the proceeds will be used in connection with continuing drilling at the company's Moray gold project, located approximately 49 kilometres (km) southeast of Timmins, Ont., in the heart of the Ontario Abitibi greenstone belt. New Break paid $12,012 in finders' fees in connection with the closing of the offering and issued 54,600 finders' warrants. Each finder's warrant is exercisable into one common share of the company at a price of 22 cents for a period of 24 months.

All securities issued and issuable pursuant to this private placement are subject to a statutory hold period of four months and one day expiring on March 4, 2027, in accordance with applicable Canadian securities laws. The completion of the financing is subject to certain conditions, including, but not limited to, the receipt of all required regulatory approvals, including final approval of the Canadian Securities Exchange.

Patricia Quigley purchased a total of 455,000 FT shares. This issuance of securities constitutes a related party transaction as such term is defined under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The company is relying on an exemption from the formal valuation and minority shareholder approval requirements provided under MI 61-101 pursuant to Section 5.5(a) and Section 5.7(1)(a) of MI 61-101, on the basis that the issuance of the securities does not exceed 25 per cent of the fair market value of the company's market capitalization.
