IMETAL RESOURCES ANNOUNCES NON-BROKERED PRIVATE PLACEMENT OFFERING FOR GROSS PROCEEDS OF UP TO $1,500,000

iMetal Resources Inc. has arranged a non-brokered private placement of units to raise gross proceeds of up to $1.5-million through the sale of 10 million units at the price of 15 cents per unit. Each unit will consist of one common share in the capital of the company and one transferable share purchase warrant of the company. Each warrant will entitle the holder thereof to purchase one additional share of the company at a price of 20 cents for a period of two years from the date of closing of the offering.

The company intends to use the net proceeds of the offering toward further exploration and drilling at the company's properties as well as for general working capital.

All securities issued under the offering will be subject to a hold period that will expire on the date that is four months and one day from the date of issue. Finders' fees may be paid on the offering pursuant to the policies of the TSX Venture Exchange.

The issuance of the securities and the payment of any finders' fees are subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX-V.
