HERBAL DISPATCH ANNOUNCES UPDATE TO EQUITY PRIVATE PLACEMENT

Herbal Dispatch Inc. is updating its news releases filed on July 29, 2025, and Aug. 28, 2025, respectively, whereby the company announced its intention to complete a non-brokered private placement of up to 20 million units of the company at a price of five cents per unit for gross proceeds of up to $1-million.

Due to strong interest in the private placement, the company anticipates that the private placement will be oversubscribed, which may result in the issuance of up to 40 million units for gross proceeds of up to $2-million. The oversubscription has been approved by the Canadian Securities Exchange, and the company has obtained price protection for the private placement. All securities issued pursuant to the private placement will be subject to a four-month hold period in accordance with applicable Canadian securities laws. The closing of the private placement is still expected to occur on or about Sept. 19, 2025.

The proceeds from the private placement and the oversubscription will be used for working capital purposes, including the purchase of inventory to support export sales growth, supplier payments and principal loan payments coming due over the coming months.
