MICHAEL MURPHY ACQUIRES SECURITIES OF GLOBAL BATTERY METALS LTD.
Michael Murphy has acquired
ownership and control of one million units of Global Battery Metals Ltd., effective March 2, 2026. Each subject unit consists of one common share
of Global Battery and one common share purchase warrant exercisable at 12
cents for a period of three years from the date of issuance. The subject units were acquired pursuant to a private
placement from the treasury of Global Battery.
The subject units represent approximately 8.92 per cent of all issued and outstanding shares as at March 2, 2026
(or approximately 14.67 per cent on a partially diluted basis, assuming exercise of the warrants only), resulting
in a corresponding change to the aggregate percentage ownership of Global Battery by the acquirer.
Immediately before the acquisition, the acquirer held 325,455 shares and 175,000 incentive stock options
to acquire an additional 175,000 shares of the company of the preacquisition issued and
outstanding shares on March 2, 2026 (or approximately 6.23 per cent on a partially diluted basis, assuming
exercise of all the options). Immediately following the acquisition, the acquirer held 1,325,455 shares
(inclusive of the subject units) representing approximately 8.92 per cent of all issued and outstanding shares as
at March 2, 2026 (or approximately 15.60 per cent on a partially diluted basis, assuming exercise of the warrants
and options).
The subject units were acquired pursuant to the private placement for a price of nine cents per subject unit.
The holdings of securities of Global Battery by the acquirer are managed for investment purposes, and the
acquirer could increase or decrease his investment in Global Battery at any time or continue to maintain
his current investment position, depending on market conditions or any other relevant factor.
