FIRST CANADIAN GRAPHITE INC. ANNOUNCES FLOW-THROUGH FINANCING

First Canadian Graphite Inc. intends to offer up to 3,448,276 flow-through common shares at 58 cents for aggregate gross proceeds of up to $2-million. This flow-through financing will supplement the previously announced $3-million hard-dollar financing (see press release of Oct. 21, 2026).

The gross proceeds from the flow-through financing will be used to finance the coming field stripping and diamond drilling program of an anticipated 20,000 metres at the company's Lac Gueret South graphite project, located in the southwest Manicouagan reservoir area, approximately 234 kilometres north-northwest of Baie-Comeau in Quebec's Cote-Nord region, on the Nitassinan (ancestral territory) of the Pessamit Innu, and will be used to incur resource exploration expenses. These resource exploration expenses will constitute Canadian exploration expenses as defined in Subsection 66.1(6) of the Income Tax Act flow-through critical mineral mining expenditures as defined in Subsection 127(9) of the income tax act.

A finder's fee may be payable in accordance with the policies of the TSX Venture Exchange.

The closing of the financing is subject to receipt of all necessary regulatory approvals including the TSX-V. The securities issued under the financing will be subject to a hold period ending on the date that is four months plus one day following the date of issue in accordance with applicable securities laws.

The company confirms there are no material facts or material changes related to the company that have yet to be generally disclosed.

The company's land claims and optioned ground now exceed 200 square kilometres, establishing one of the most extensive claim portfolios in the Lac Gueret graphite district. With more than $10-million invested to date and significant exploration upside remaining, First Canadian Graphite is focused on expanding resources and advancing the project toward a preliminary economic assessment (PEA).
