Effective at the close of business on Tuesday, April 8, 2025, the common shares of Entourage Health Corp. will be delisted from the TSX Venture Exchange. The delisting of Entourage shares results from the completion of a court-approved plan of arrangement under the Business Corporations Act (Ontario), pursuant to an arrangement agreement dated Dec. 30, 2024, between Entourage, 1001007762 Ontario Inc. and 2437653 Ontario Inc., whereby the purchaser has acquired all of the issued and outstanding common shares of Entourage for cash consideration equal to 0.5 cent per common share. Additionally, all vested DSUs (deferred share units) of Entourage were exchanged for a cash consideration of 0.5 cent per DSU in accordance with the terms of the arrangement. In connection with the arrangement agreement, Entourage has also entered into debt settlement agreements with holders of unsecured convertible debentures, pursuant to which Entourage has settled $1,013,050 in aggregate principal amount of debentures in exchange for an aggregate cash payment of $250,000 to the holders of the debentures concurrently with the closing of the arrangement.

The exchange has been advised that the requisite approval of the arrangement by Entourage shareholders was received at a special meeting of shareholders held on March 21, 2025, and that the Superior Court of Justice (Commercial List) granted a final order with respect to the arrangement on March 26, 2025. The arrangement was completed on April 4, 2025.
