CRITICAL INFRASTRUCTURE TECHNOLOGIES LTD. ANNOUNCES CLOSING OF NON-
BROKERED PRIVATE PLACEMENT AND DEBT SETTLEMENT
Further to its news release dated July 22, 2025,
Critical Infrastructure Technologies Ltd. has closed the previously announced non-brokered private placement financing of
10 million units of the company at a price of five cents per unit for aggregate gross proceeds of
$500,000. Each unit consists of one common share in the capital of the company and
one common share purchase warrant, with each warrant exercisable for a period of
24 months from the date of issuance at an exercise price of 10 cents per share. The units and shares upon
exercise of the warrants sold pursuant to the offering will be subject to a four-month hold period pursuant
to securities laws in Canada.
The company intends to use the net proceeds of the offering for general working capital.
Debt settlement
The company also announces that it has settled a debt relating to certain management fees to Brenton
Scott, the chief executive officer, president and a director of the company, to Andrew Hill, a director of the company, and to
a certain creditor by issuing an aggregate of 10 million units at a deemed price of five cents per unit,
representing an aggregate value of $500,000. All securities issued in connection
with the debt settlement will be subject to a four-month hold period pursuant to securities laws in Canada.
The issuer will rely on the exemptions from the formal valuation and minority approval requirements of
Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, as the
fair market value of the consideration paid for the debt assignments does not exceed 25 per cent of the issuer's
market capitalization.
