Number of shares:  6.96 million common share units (Each unit consists of one common share and one-half of one common share purchase warrant.)

Purchase price:  20 cents per unit

Warrants:  3.48 million warrants to purchase 3.48 million common shares

Warrant exercise price:  30 cents for a period of two years from the closing date

Number of placees:  32 placees

Insiders:  Jeffrey Howard Chisholm, 200,000; David Hergeinhein, 250,000; Jared Lukomski, 50,000; Cameron Taylor, 250,000; Bryden Wright, 25,000

Total pro group involvement:  150,000 (one placee)

Finder's fee:  $14,000 cash commission and 70,000 broker warrants payable to PI Financial Corp. (Each broker warrant is exercisable at 30 cents per share until Nov. 9, 2022.)
