The Transferred Shares were disposed of for aggregate consideration of US$23,101,924.97 (equal to C$30,372,100 based on the applicable exchange rate as of November 13, 2020). Immediately before the transactions that triggered the requirement to file this press release, BCPI had ownership of 14,154,251 common shares of the Issuer representing approximately 15.46% of the then issued and outstanding common shares of the Issuer. Following the transaction that triggered the requirement to file this press release, BCPI held direct ownership of 11,898,530 common shares of the Issuer representing approximately 13.00% of the issued and outstanding common shares of the Issuer. BCPI disposed of the Transferred Shares for investment purposes. BCPI may sell or acquire additional common shares of the Issuer either on the open market or through private dispositions in the future depending on market conditions, reformulation of plans and/or other relevant factors.
