DELAY IN FILING AUDITED ANNUAL FINANCIAL STATEMENTS
The filing of NetCents Technology Inc.'s audited annual financial statements for the year ended Oct. 31, 2018, including the related management discussion and analysis, and chief executive officer and chief financial officer certifications, will not be completed by the required filing deadline of Feb. 28, 2019.
The company has been preparing its financial statements to meet the Feb. 28, 2019, filing deadline but was notified by its auditor on Friday, Feb. 21, 2019, that additional audit procedures needed to be completed, resulting in a delay in the completion of its audit. As a result, the annual financial filings will not be filed before the filing deadline as the company continues to work to provide responses to the auditor of the company, in connection with the requested documentation.
The company's staff is working diligently with its auditor and the company anticipates that it will be in a position to file the annual financial filings before March 15, 2019.
The company has voluntarily applied to the applicable securities regulatory authorities and received a management cease trade order related to the company's securities to be imposed against all of the persons who are currently directors or officers of the company to trade securities of the company. The management cease trade order will be in effect until the annual financial filings are filed. All other securityholders will still be able to trade in the securities of the company in accordance with applicable securities laws.
Until the annual financial filings are filed, the company intends to provide information in accordance with National Policy 12-203, Cease Trade Orders for Continuous Disclosure Defaults.
