Warrants:  1.04 million share purchase warrants to purchase 1.04 million common shares

Warrant exercise price:  35 cents for a three-year period

Number of placees:  10 placees

Finder's fee:  Haywood Securities Inc., $1,540 cash and 7,000 finder's warrants (Each finder's warrant is non-transferable and exercisable into one common share at 35 cents per share for a three-year period from closing.)
