VALDOR LAUNCHES VALDOR VENTURES TO DRIVE INNOVATION IN FIBER OPTICS AND BEYOND AND ANNOUNCES DEBT SETTLEMENT

Valdor Technology International Inc. has launched Valdor Ventures, a new subsidiary focused on fostering innovation, research and development, and breakthrough ideas. Valdor Ventures will operate as a dedicated incubator for exploring new technologies and developing solutions in fibre optics and related fields.

The global fibre optic market is projected to reach $25-billion (U.S.) by 2032, driven by increasing demand for high-speed Internet and data connectivity. To capitalize on this growth and address evolving industry challenges, the company has launched Valdor Ventures to act as a catalyst for innovation, positioning Valdor as a key player in the global fibre optic market.

Valdor, through its subsidiary, Valdor Fiber Optics Inc., headquartered in San Francisco, Calif., specializes in the design, manufacture and sale of passive fibre optic components. Debt settlement

The company also announces it has entered into a debt settlement agreement to settle outstanding debt owed to an arm's-length creditor totalling $31,500. Pursuant to the settlement agreement, the company has agreed to issue an aggregate of 315,000 common shares in the capital of the company at a deemed price of 10 cents per common share. The common shares issued pursuant to the settlement agreement will be subject to a four-month-and-one-day hold period, pursuant to National Instrument 45-106 (Prospectus Exemptions).

The board of directors of the company determined that it is in the best interests of the company to complete the debt settlement to preserve the company's cash for working capital.
