The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 4, 2023.

Number of shares:  25 million common shares

Purchase price:  two cents per share

Number of placees:  18 placees

Total existing insider involvement:  2.75 million (four insiders)

Total pro group involvement:  250,000 (one pro group)

The company issued a news release on Feb. 5, 2024, confirming the closing of the private placement.
