Pursuant to a resolution passed by directors on April 1, 2025, the TSX Venture Exchange has accepted for filing documentation in connection with an internal reorganization, whereby a subsidiary of Partners Value Investments LP, Partners Value Investments Inc. (PVII), has completed a short form vertical amalgamation with PVII's wholly owned subsidiary, Partners IV Inc., under the provisions of the Business Corporations Act (Ontario). The exchange has been advised that the amalgamation was effective as of April 1, 2025.

As a result of the amalgamation, 5,640,600 non-voting exchangeable shares of PVII that were previously held by Partners IV were cancelled. Additionally, in connection with the amalgamation, an aggregate of 2,749,429 exchangeable shares were issued to former holders of non-voting common shares in the capital of Partners IV. Each such exchangeable share at the option of the holder is exchangeable on a one-for-one basis for the currently listed equity limited partnership units of the partnership (PVF.UN). These exchangeable shares are of the same class as the shares issuable on the exercise of the currently listed PVII warrants (PVF.WT).
