The TSX Venture Exchange has accepted for filing the company's proposal to issue 8,984,371 common shares to settle outstanding debt for $359,374.82.

Aggregate non-arm's-length-party involvement:  $359,374.82, 8,984,371 shares at four cents (two parties)
