PACIFIC ARC RESOURCES ANNOUNCES REPRICING OF NON-BROKERED PRIVATE PLACEMENT

Further to the announcement of June 27, 2024, of a non-brokered private placement of 18,628,710 shares, Pacific Arc Resources Ltd. intends to reprice the offering of the proposed placement to 1.5 cents per share.

Closing of the private placement is subject to customary closing conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange. The securities issued in connection with the private placement will be subject to a four-month hold period in accordance with applicable securities laws.

The company intends to use the proceeds to satisfy outstanding accounts payable and for general working capital.
