The Toronto Stock Exchange reports that Nomad Royalty Company Ltd. will be listed and posted for trading at the open on May 29, 2020. According to the TSX, there will be 511,015,979 shares of the company issued and outstanding, and 66,901,597 shares reserved for issuance. The shares will trade under the symbol NSR, in Canadian dollars and under Cusip No. 65532M 20 0.
The TSX reports that the company has acquired two portfolios comprising 10 royalty, stream and gold loan assets from the Orion and Yamana groups. In connection with the closing of the acquisitions, the company has changed its name from Guerrero Ventures Inc. to Nomad Royalty. The company, which has been trading on the TSX Venture Exchange under the symbol GV, will be delisted from the TSX-V on May 29, 2020, upon the start of trading on the TSX.
According to the TSX, Nomad Royalty is a growth-oriented precious metal royalty and streaming
company that is focused on maximizing returns for its
shareholders by growing its asset base, both organically and through accretive acquisitions of precious metal and other
high-quality royalties and streams, and by
returning capital to its shareholders through quarterly dividend
payments. The company expects to establish a policy of declaring a quarterly dividend, subject to the availability of cash
flow. The amount of the dividend will be determined quarterly.
Any determination to pay dividends in the future will be at the
discretion of the board of directors of the company.
The TSX reports that the company's transfer agent and registrar is Computershare Investor Services Inc. at its principal offices in Montreal and Toronto, and its fiscal year-end is Dec. 31. The company issued 14,777,778 subscription receipts under a private placement, at 90 cents per subscription receipt, for $13.3-million. The private placement subscribers are entitled to receive one share of Nomad Royalty per subscription receipt held.
