The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on April 3, 2023.

Number of shares:  855,479 shares

Purchase price:  12 cents per share

Warrants:  427,740 share purchase warrants to purchase 427,740 shares

Warrant exercise price:  20 cents for a one-year period

Number of placees:  three placees

Total existing insider involvement:  55,479 (one insider)

Total pro group involvement:  500,000 (one pro group)

The company issued a news release on May 5, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
