Purchase price:  two cents per share

Warrant:  775,000 share purchase warrants to purchase 775,000 shares

Warrant purchase price:  five cents for three years from the date of issuance

Number of placees:  two placees

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued news releases on April 8, 2024, and May 24, 2024, announcing the closing of the private placement and setting out the expiry dates of the hold period.
