IMAGINEAR ISSUES CORRECTION TO CONVERTIBLE NOTE FINANCING CLOSING

ImagineAR Inc. has issued a correction to its news release date Oct. 31, 2024.

Further to its news releases dated Aug. 30, 2024, Sept. 10, 2024, Oct. 22, 2024, and Oct. 31, 2024, ImagineAR has closed the third and final tranche of a convertible note financing in the amount of $590,000. The total amount received for all three tranches equals $1.1-million. Proceeds raised will be used to support the company's major initiatives: location-based entertainment, AI (artificial intelligence) integration with AR (augmented reality), and patent enforcement and licensing.

The convertible notes and interest are convertible at any time by the holder or upon the automatic conversion into units at five cents per unit. Each unit consists of one common share and one warrant exercisable into one common share at seven cents for three years from the date the convertible notes are issued.

A director of the company participated in the financing for $150,000, corrected from $270,000 as previously stated in its new release dated Oct. 31, 2024.

No finders' fees or commissions will be paid.

All securities issued in connection with the offering will be subject to a statutory hold period of four months plus one day from the date of issuance in accordance with applicable securities legislation.
