The TSX Venture Exchange has accepted for filing the company's proposal to issue 7,639,815 common shares at a deemed value of 15 cents per share to settle outstanding debt for $1,145,972.37.

Number of creditors:  10 creditors

Total non-arm's-length-party involvement:  $433,271.41, 2,888,476 shares at 15 cents (three parties)

The company shall issue a news release when the shares are issued and the debt extinguished.
