GRAN TIERRA ENERGY INC.'S ACQUISITION OF I3 ENERGY APPROVED BY I3 ENERGY SHAREHOLDERS

Gran Tierra Energy Inc. target company i3 Energy PLC's shareholders have approved Gran Tierra's previously announced takeover. i3 Energy is a public limited company organized under the laws of England and Wales.

This approval satisfies one of the conditions to the closing of the acquisition. The acquisition remains subject to the satisfaction of additional regulatory closing conditions, as previously disclosed, and is expected to be effective on or about Oct. 31, 2024.
