Further to its bulletin dated July 22, 2025, the Toronto Stock Exchange reports that GO Residential Real Estate Investment Trust units began trading on an if, as and when-issued basis on July 25, 2025, under the symbol GO.U. and Cusip No. 36272H 10 7. According to the TSX, a total of 27.34 million units are being offered to the public at a price of
$15 (U.S.) per unit for total gross proceeds of
$410.1-million (U.S.), pursuant to an initial public offering (IPO) that
is scheduled to close before the opening on July 31, 2025. In addition, the
REIT has granted to the underwriters an overallotment option pursuant
to which the underwriters may purchase up to 4,101,000 additional units
at the offering price.
Subject to the closing of the offering on July 31, 2025, all trades
in GO.U in the if, as and when-issued market on July 25, 2025, July 28, 2025, July 29, 2025, and July 30,
2025, will be for special settlement on July 31, 2025, and will appear on
the settlement report from CDS Clearing and Depository Services Inc.
Upon closing, the TSX will issue a bulletin confirming: (i) the closing of the offering; and
(ii) that the units will no longer trade on an if, as and when-issued basis
but will trade thereafter on a regular settlement basis.
If the offering does
not close, all of the if, as and when-issued trades will be cancelled. No
securities will be delivered and no money will be owed by purchasers to
sellers. Parties who are entitled to receive units under the offering may
sell such securities in the if, as and when-issued market without being
subject to restrictions on short sales. Parties who are not entitled to
receive units under the offering must comply with the short sale rule in all
respects for any sales they make in the if, as and when-issued market.
