CORNISH METALS ANNOUNCES SPECIAL MEETING OF SHAREHOLDERS TO BE HELD ON MARCH 18, 2025

A special meeting of Cornish Metals Inc.'s shareholders is scheduled to take place in a virtual-only format conducted via live audio teleconference on Tuesday, March 18, 2025, at 9 a.m. (Vancouver time)/4 p.m. (London time) to seek the shareholder approvals necessary to complete the previously announced financing to raise gross proceeds of 57.4 million British pounds (see news releases dated Jan. 28, 2025, and Jan. 31, 2025).

At the meeting, shareholders of the company will be asked to pass: (i) an ordinary resolution of disinterested shareholders of the company to approve the creation of the National Wealth Fund Ltd. as a new control person of the company; (ii) an ordinary resolution of the shareholders of the company to authorize the directors of the company to allot shares in the company; (iii) an extraordinary resolution of the shareholders of the company to authorize the directors of the company to allot certain equity securities for cash in connection with the financing without first having to offer them on a pre-emptive basis to existing shareholders; and (iv) an ordinary resolution of the shareholders of the company to approve a proposed performance share plan.
